Customer Referral Scheme - Terms & Conditions

These Referral Scheme Terms (“Terms”) apply to iplicit customers (“Referrer”) who submit introductions to potential new customers (“Referee”). By submitting a referral form or by email introduction, the Referrer agrees to these Terms.

1. Eligibility

1.1 The Referrer must be an existing paying customer of iplicit Limited (“iplicit”).
1.2 A Referee must be a new prospect not already:

(a) an active iplicit customer;
(b) in any live sales cycle, opportunity, or discussions with iplicit; or
(c) previously referred by another party.

iplicit’s determination of eligibility is final.

2. Valid Referral Submission

2.1 A referral is valid only where:

(a) it is submitted via iplicit’s official referral form; or
(b) it is submitted by an email introduction including both the Referee and iplicit.

Either method must provide a verifiable audit trail.

3. Referral Reward

3.1 Upon the Referee signing an iplicit Order Form Software Services Subscription Agreement and making their first payment, iplicit will apply

Once the Referee has signed the iplicit Software Services Subscription Agreement the implementation programme of works will commence. Once the Referee has signed an Order Form then iplicit will apply:

(a) £1,000 discount to the Referrer’s next renewal or invoice; and
(b) £1,000 discount to the Referee’s initial contract (License fee only).

3.2 Nonprofit Referrers may elect to receive a £1,000 donation to a UK registered charity in place of their discount.

3.3 Discounts are nontransferable, nonexchangeable, and have no cash alternative.

3.4 Referrers may accumulate multiple £1,000 discounts, each earned per eligible successful referral.

4. Exclusions

4.1 No reward is payable where the Referee does not become a contracted iplicit customer.

4.2 No reward is payable for referrals submitted after iplicit has already opened an opportunity with the prospect.

4.3 iplicit will not retrospectively apply discounts to previously submitted or invalid referrals.

5. Conduct & Compliance

5.1 The Referrer must ensure any introduction is lawful and compliant with applicable data protection requirements.

5.2 The Referrer confirms they have authority to share the Referee’s contact details with iplicit for the purpose of a commercial introduction.

5.3 The iplicit Customer Licence Agreement continues to apply and is incorporated by reference.

6. Termination & Scheme Changes

6.1 iplicit may amend, suspend, or terminate the Referral Scheme at any time without notice.

6.2 Referrals submitted prior to any change will be honoured under the Terms of this scheme in force at the time of submission.

7. Governing Law

7.1 These Terms are governed by and construed in accordance with the laws of England and Wales
